Re: Gringolet Company Limited (the “Company”), Company Number 00089255
This notice constitutes notice under Article 23.2 of the Company’s Articles of Association that ILS Property & Casualty Re II Limited wishes to transfer all of its shares in the Company to Legatum SPV Ltd (the “Buyer”) and hereby requires you to sell and transfer all of your shares in the Company to the Buyer in accordance with Article 23 of the Company’s Articles of Association.
The proposed date of such transfer is on or around Wednesday 12 January 2022. The purchase price payable for your shares shall be USD2.01 per share.
